CUSTOMER CENTER AGREEMENT

This Agreement governs your use of the Customer Center (the "Service"), which is a service made available by Dow Jones & Company, Inc. ("Dow Jones" or "we") to enable you to manage your subscriptions and account for designated Dow Jones' products and service, including, The Wall Street Journal, Barron's and their respective mobile, tablet and online editions (the "Products"). From time to time, Dow Jones may enable to you manage subscriptions for additional products and services, which will be also be governed by this Agreement.

By using the Service, you are agreeing to be bound by the terms of this Agreement. If you do not wish to be bound by the terms of this Agreement, you should not use the Service.

1. Customer Center. The Customer Center allows you to manage certain aspects of your account and subscription to the Products, such as changing or updating your account information, purchasing, upgrading and renewing Products, suspending delivery of print Products and selecting newsletters. You cannot however, cancel your subscription through the Customer Center. To cancel a subscription, you must call Customer Service at 1-800-Journal (1-800-568-7625) or such other number identified within the Service from time to time. For suspension of delivery, we agree to use commercial reasonable efforts to ensure that delivery of print Products is suspended within the time frames you request but cannot guarantee that suspension will occur during the exact dates requested. When you suspend delivery of a print Product for a particular period, your subscription term will then be extended by the number of days in that suspension period. In some cases, you may be given the option to donate the subscription value of the suspended period to our School Donation program. That option will be identified in Service for the Products for which it is applicable.

2. Additional Terms and Conditions for the Products. This Agreement does not replace or supersede any terms or conditions applicable to a particular Product but instead covers solely the use of the Customer Center to manage your subscriptions.

3. Your Account and Privacy.

     3.1 Privacy Policy. Registration data and other information about you are subject to our Privacy Policy. Your information may be stored and processed in the United States or any other country where Dow Jones has facilities, and by using the Service, you consent to the transfer of information outside of your country.

     3.2 Account Security. You are solely responsible for maintaining the confidentiality and security of your password for the Service. If you provide someone else with access to your password to the Service, they will have the ability to view information about your account and subscriptions and make changes. Similarly, if have added a security question and you tell someone the answer to your security question, they will be able to change your password for the Service.

     3.3 Restrictions on Account. You may only use this Service to manage your and your household's subscriptions and to make account changes for you own or household's personal benefit. You agree not to use the Service for any unlawful purpose. We reserve the right to terminate or restrict your access to the Service if, in our opinion, your use of the Service may violate any laws, regulations or rulings, infringe upon another person's rights or violate the terms of this Agreement.

4. Changes to Service and Agreement. We may discontinue or change this Service in whole or with respect to particular Product, as well and any services or functions available through this Service, at any time. We may change the terms of this Agreement at any time by posting a notice on the Service that the terms have been "updated". The changes also will appear in this document, which you can access at any time by the link at the bottom of pages within the Service. You signify that you agree to be bound by such changes by using the Service after changes are made to this Agreement.

5. DISCLAIMERS OF WARRANTIES AND LIMITATIONS ON LIABILITY. YOU AGREE THAT YOUR ACCESS TO, AND USE OF, THE SERVICE IS ON AN "AS-IS", "AS AVAILABLE" BASIS AND WE SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATIONS OR WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

DOW JONES DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR NEEDS, OR THAT IT WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. DOW JONES ALSO MAKES NO WARRANTY THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

6. LIMITATION ON LIABILITY. DOW JONES AND ITS SUBSIDIARIES, AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS ("THE DOW JONES PARTIES") WILL NOT BE LIABLE (JOINTLY OR SEVERALLY) TO YOU OR ANY OTHER PERSON AS A RESULT OF YOUR ACCESS OR USE OF THE SERVICE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST SAVINGS AND LOST REVENUES (COLLECTIVELY, THE "EXCLUDED DAMAGES"), WHETHER OR NOT CHARACTERIZED IN NEGLIGENCE, TORT, CONTRACT, OR OTHER THEORY OF LIABILITY, EVEN IF ANY OF THE DOW JONES PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN ANY OF THE EXCLUDED DAMAGES, AND IRRESPECTIVE OF ANY FAILURE OF AN ESSENTIAL PURPOSE OF A LIMITED REMEDY. IF ANY APPLICABLE AUTHORITY HOLDS ANY PORTION OF THIS SECTION TO BE UNENFORCEABLE, THEN THE DOW JONES PARTIES' LIABILITY WILL BE LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY APPLICABLE LAW.

DOW JONES WILL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS RESULTING FROM A CAUSE OVER WHICH DOW JONES DOES NOT HAVE DIRECT CONTROL. THIS INCLUDES FAILURE OF ELECTRONIC OR MECHANICAL EQUIPMENT OR COMMUNICATIONS LINES (INCLUDING TELEPHONE, CABLE AND INTERNET), UNAUTHORIZED ACCESS, VIRUSES, THEFT, OPERATOR ERRORS, SEVERE OR EXTRAORDINARY WEATHER (INCLUDING FLOOD, EARTHQUAKE, OR OTHER ACT OF GOD), FIRE, WAR, INSURRECTION, TERRORIST ACT, RIOT, LABOR DISPUTE AND OTHER LABOR PROBLEMS, ACCIDENT, EMERGENCY OR ACTION OF GOVERNMENT.

7. General. This Agreement contains the final and entire agreement between us regarding your use of the Service and supersedes all previous and contemporaneous oral or written agreements regarding your use of the Service. This Agreement is personal to you, which means that you may not assign your rights or obligations under this Agreement to anyone. You agree that this Agreement, as well as any and all claims arising from this Agreement will be governed by and construed in accordance with the laws of the State of New York, United States of America applicable to contracts made entirely within New York and wholly performed in New York, without regard to any conflict or choice of law principles. The sole jurisdiction and venue for any litigation arising out of this Agreement will be an appropriate federal or state court located in New York. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods.
